Welcome to CheerPing! These Terms and Conditions (“Terms”) govern your use of our website at cheerping.com (the “Site”) and our services (collectively, the “Services”). By using CheerPing, you agree to these Terms. If you do not agree, please do not use our Services. We may update these Terms at any time, and we’ll notify you by posting the updated Terms on our Site. Your continued use after updates means you accept the changes.

 

1. About CheerPing

CheerPing is a micro-compliment delivery service that sends daily compliments to brighten your day or your child’s day. We’re based in the USA. You can contact us at support@cheerping.com for any questions.

 

2. Eligibility

- You must be at least 18 years old to use CheerPing or purchase a subscription.  

- For the Parent-to-Kid option: You must be the parent or legal guardian of the child (aged 5-18) to whom compliments are sent. By selecting this option, you confirm you have the authority to provide the child’s contact information (email or phone number).  

- Corporate Plan: You must be an authorized representative of the company to purchase on its behalf.

 

3. Subscription and Services

- Individual Subscription: For $5/month, your chosen recipient will receive one daily anonymous compliment (Professional or Personal), delivered via email.    

- Service Availability: We strive to deliver compliments daily, but we’re not liable for delays due to technical issues or force majeure (e.g., natural disasters).

 

4. Payment and Billing

- Payment: Subscriptions are billed monthly via Stripe, our payment processor. You authorize us to charge your payment method (e.g., credit card) on a recurring basis.  

- Billing Cycle: Charges occur on the same day each month (e.g., if you sign up on March 5th, you’re billed April 5th).  

- No Refunds: All payments are non-refundable, even if you cancel mid-cycle. You’ll receive compliments until the end of your billing cycle.  

- Failed Payments: If payment fails, we’ll retry 3 times over 7 days. If unsuccessful, your subscription will be cancelled, and no further compliments will be sent on your behalf.  

- Price Changes: We may change subscription prices with 30 days’ notice via email and on our Site. Your continued use after the change means you accept the new price.

 

5. Cancellations

- **Individual Subscriptions**: You can cancel anytime via the “Manage Subscription” link on our Site. Compliments stop at the end of your billing cycle.  

- Receivers: If the subscriber cancels, receivers are notified (“Your CheerPing compliments have ended—sign up for $5/month to keep going!”) and stop receiving messages at the end of the billing cycle.  

 

6. User Conduct

- Acceptable Use: Use CheerPing to spread kindness—compliments must be positive and appropriate.  

- Prohibited Actions: Do not:    

  - Use CheerPing for illegal purposes or to violate others’ rights.  

  - Attempt to hack, disrupt, or misuse our Services (e.g., spamming, reverse-engineering).  

- Consequences: We may suspend or terminate your account for violating these Terms, without refund, and report illegal activity to authorities.

 

7. Intellectual Property

- Our Content: CheerPing, including its name, logo, Site content, and pre-seeded compliments, is owned by us and protected by copyright and trademark laws. You may not copy, modify, or distribute our content without permission.  

- Your Content: Custom compliments you write remain yours. By submitting them, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and deliver them as part of our Services.  

- User-Submitted Compliments: If you submit compliments to our pool, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and distribute them within CheerPing.

 

8. Third-Party Services

We use third-party services to operate CheerPing:

- Stripe: Processes payments (see their Terms at stripe.com).  

- SendGrid: Sends emails (see their Terms at sendgrid.com).  

- Wix: Hosts our Site (see their Terms at wix.com).  

These services have their own Terms and Privacy Policies—we’re not responsible for their practices.

 

9. Liability and Disclaimers

- As-Is Service: CheerPing is provided “as is” without warranties of any kind, express or implied (e.g., no warranty of uninterrupted service).  

- Limitation of Liability: We’re not liable for indirect, incidental, or consequential damages (e.g., emotional distress, lost profits) arising from your use of CheerPing. Our total liability is limited to the amount you paid us in the last 12 months (e.g., $60 for a $5/month subscription).  

- Message Content: We do not guarantee the accuracy, appropriateness, or impact of compliments (e.g., pre-seeded or user-submitted). We’re not liable for any harm caused by messages.  

- Third-Party Actions: We’re not responsible for third-party actions (e.g., Stripe payment errors, Twilio delivery failures) or user actions (e.g., inappropriate compliments).

 

10. Termination

- By You: You can terminate by cancelling your subscription (see Section 5).  

- By Us: We may suspend or terminate your account for violating these Terms (e.g., sending harmful messages), non-payment, or at our discretion with 30 days’ notice. Upon termination, you’ll stop receiving compliments, and we may delete your data (per our Privacy Policy).  

 

11. Governing Law and Disputes

- Governing Law: These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict of law principles.  

- Dispute Resolution: Any disputes will be resolved in the state or federal courts of Charlotte, NC, USA. You agree to submit to the jurisdiction of these courts.  

- Informal Resolution: Before filing a claim, contact us at support@cheerping.com to resolve issues informally within 30 days.

 

12. Miscellaneous

- Entire Agreement: These Terms, along with our Privacy Policy, are the entire agreement between you and CheerPing, superseding any prior agreements.  

- Severability: If any part of these Terms is found invalid, the remaining parts remain in effect.  

- No Waiver: Our failure to enforce any right does not waive that right.  

- Assignment: You may not assign your rights under these Terms without our consent. We may assign ours (e.g., in a business sale).  

- Force Majeure: We’re not liable for delays due to events beyond our control (e.g., natural disasters, internet outages).
